Veritas Capital to Acquire BGIS

NEW YORK & MARKHAM, Ontario--(BUSINESS WIRE)-- Veritas Capital (“Veritas”), a leading investor at the intersection of technology and government, today announced that it has entered into a definitive agreement to acquire BGIS (“the Company”) from CCMP Capital Advisors, LP (“CCMP”) and Alberta Investment Management Corporation (“AIMCo”). BGIS is a global leader in technical integrated facilities management (IFM) services, combining deep engineering expertise with proprietary technology to serve public and private sector clients across mission-critical environments. Veritas will partner with CEO Gord Hicks and the BGIS management team, who will continue to lead the Company, to support BGIS’ long-term growth strategy.

Public sector agencies, commercial clients, and operators of critical technology infrastructure rely on BGIS to manage and optimize their complex real estate portfolios on a global scale. BGIS combines a highly skilled technical workforce with a purpose-built Digital Facility Management platform to help clients improve operational performance, increase resiliency, and maximize the value of their real estate assets. Today, the Company manages more than 65,000 facilities totaling over 620 million square feet globally.

The transaction is expected to close in the fourth quarter of 2026, subject to customary closing conditions, including applicable regulatory approvals. Financial terms of the transaction were not disclosed.

Citi served as lead financial advisor to BGIS, with TD Securities Inc. serving as co-advisor, and BMO Nesbitt Burns Inc. and CIBC World Markets Inc. also serving as financial advisors to BGIS. Ropes & Gray LLP is serving as legal counsel to CCMP Capital and BGIS. Torys LLP is acting as legal counsel to AIMCo. Gibson, Dunn & Crutcher LLP and Milbank LLP are acting as legal counsel to Veritas.
