Vaxcyte, Inc. (NASDAQ: PCVX) announced that Jacks Lee retired from its Board of Directors on June 17, 2026, and that Moncef Slaoui was appointed to fill a board seat effective the same date.

Lee's retirement was not the result of any disagreement with the company, according to the announcement. Following his departure from the board, Lee entered into a consulting agreement with Vaxcyte to advise on global strategic supply and manufacturing operations.

Slaoui was appointed as a Class II director upon recommendation of the Nominating and Corporate Governance Committee. His term is set to expire at the company's annual stockholder meeting in 2028. The board determined that Slaoui qualifies as an independent director under Nasdaq Rule 5605(a)(2).

Slaoui will receive compensation under the company's standard non-employee director compensation program. The annual equity grant for all directors is currently valued at $430,000. Vaxcyte also entered into its standard indemnification agreement with Slaoui.
