United Homes Group ends strategic review, six directors resign
United Homes Group Inc. (NASDAQ: UHG) announced that its special committee has concluded a strategic review process and determined that continuing as an independent public company serves stockholders' best interests under current macroeconomic conditions.
The special committee, formed in May with legal and financial advisors, evaluated strategic alternatives including potential sales, mergers and other transactions before reaching its decision.
Six board members announced resignations effective no later than November 14, following disagreements with Executive Chairman Michael Nieri. Four directors - Robert Dozier Jr., Jason Enoch, Alan Levine and James M. Pirrello - stated they would remain on the board only if the existing management team received full empowerment to execute the company's strategic plan and Nieri stepped down as Executive Chairman while forgoing remaining cash compensation.
The directors' resignation letters cited their belief that the existing management team is better positioned to navigate current market conditions and operational challenges without Nieri serving as Executive Chairman. Nieri, who is the controlling stockholder, declined to accept these conditions.
Nikki R. Haley also announced her resignation from the board, citing a desire to focus on other professional responsibilities. James P. Clements resigned immediately, stating he wanted to concentrate on other professional obligations.
The resigning directors held key committee positions including audit, compensation, nominating and corporate governance, and related party transactions committees.
United Homes Group is a residential builder based near Columbia, South Carolina, operating in southeastern markets including South Carolina, North Carolina and Georgia. The company employs a land-light operating strategy, controlling lot supply through option contracts rather than acquiring raw land directly.
