Teradata appoints Melissa Fisher to board, enters cooperation deal

Teradata Corporation (NYSE: TDC) announced it will appoint Melissa Fisher to its board of directors as part of an ongoing board refreshment program and a cooperation agreement with Lynrock Lake LP.
Fisher is expected to join the board as a Class I director by March 1, 2026, following standard onboarding procedures. She will be nominated for election at the company's 2026 annual meeting with a term expiring at the 2029 annual meeting.
The board is conducting a search for an additional independent director to join following the 2026 annual meeting and will collaborate with Lynrock Lake on candidate selection. As part of the refreshment plan, one Class I director will retire and not seek re-election at the 2026 annual meeting, while one Class II director will retire before the 2027 annual meeting.
Fisher previously served as chief financial officer at Outreach.io and Qualys, a publicly-traded cloud security provider. She held senior finance roles at Zynga and Digital River, and spent over a decade as an investment banker at Goldman Sachs and BofA Securities. Fisher holds degrees from Harvard University and Harvard Business School.
Under the cooperation agreement, Lynrock Lake agreed to support the board's full slate of directors at the 2026 annual meeting and accepted customary standstill, non-disparagement, voting and other provisions. The agreement will be filed with the Securities and Exchange Commission as an exhibit to a Form 8-K.
