Solidion Technology adds three independent directors to its board

Solidion Technology Inc. (Nasdaq: STI) appointed three independent directors to its board of directors, effective Aug. 31, according to a company statement.



The new directors are Kimi L. Ellen, Mark N. Schwartz, and Dante W. Robinson. The board determined each appointment meets independence standards under Nasdaq listing rules and U.S. Securities and Exchange Commission regulations.



Ellen is Managing Partner and Chief Executive Officer of Benford Brown & Associates, LLC, a certified public accounting firm. She will serve on the Compensation Committee and Audit Committee and has been designated an "audit committee financial expert" under SEC rules.



Schwartz has experience as a chief executive officer, chief financial officer, and director at public and private companies. He currently serves as a director and Audit Committee Chair of Onfolio Holdings Inc. (Nasdaq: ONFO) and previously served on the board of Starbucks Corporation. He will chair the Compensation Committee and also serve on the Audit Committee, where he has also been designated an "audit committee financial expert."



Robinson currently serves as Chief of Internal Affairs at State Compensation Insurance Fund. He will serve on the Nominating and Governance Committee and the Audit Committee and has been designated an "audit committee financial expert."



Following the appointments, Solidion's board consists of seven directors, a majority of whom are independent under Nasdaq listing standards. The company also updated its board committee chairmanships, with Karin-Joyce Tjon chairing the Audit Committee and John Davis chairing the Nominating and Governance Committee.



Solidion is headquartered in Dallas, Texas, with pilot production facilities in Dayton, Ohio. The company is engaged in battery materials manufacturing and next-generation battery development.
