Sharps Technology director resigns citing conflict concerns

Annemarie Tierney resigned as an independent director of Sharps Technology Inc. (NASDAQ: STSS) effective December 19, 2025, according to a company statement.
Tierney, who served on the audit and compensation committees, cited concerns about potential conflicts of interest and related party transactions involving Sol Edge Limited and Sol Markets. Both entities are wholly owned and controlled by James Zhang, brother of Alice Zhang, the company's chief investment officer and director.
Sol Edge Limited serves as the company's consultant while Sol Markets acts as strategic advisor. Both entities will have material influence on Sharps Technology's digital asset treasury strategy by providing consulting services and strategic guidance related to treasury management and crypto technology sector trends.
The company established a Treasury Oversight Committee with direct oversight of both the consultant and strategic advisor. Alice Zhang will serve on this committee alongside Executive Chairman Paul Danner and Chief Financial Officer Andrew Crescenzo.
The company disclosed that Jason Hu, Alice Zhang's husband, is a senior team member at Sol Edge Limited managing the company's digital assets.
Sharps Technology had previously disclosed the related party relationships with both Sol Edge Limited and Sol Markets in company filings.
