Scholastic appoints two new independent directors to board

Scholastic Corporation (NASDAQ: SCHL) appointed Milena Alberti and Anne Clarke Wolff as independent directors to its board, effective July 16, 2025. The appointments represent holders of Scholastic's Common Stock.



Directors John L. Davies and David J. Young stepped down immediately to enable the new directors to begin participating in board deliberations. Both had planned to retire at the upcoming 2025 annual meeting of stockholders.



Alix Guerrier, currently a representative of Common Stockholders appointed in 2024, was reappointed to the board as a representative of the company's Class A Stockholders. The eleven-member board has added seven new independent directors over the past four years.



Alberti brings over 30 years of finance and media experience. She previously served as Global and US Chief Financial Officer at Penguin Random House and as Chief Financial Officer at Getty Images, Inc. and MediaMath. She currently chairs the board of Pitney-Bowes Inc. and serves as director and audit committee chair of Allurion Technologies.



Wolff has 30 years of experience in financial services and founded Independence Point Advisors in 2021, where she serves as Chief Executive Officer. She previously managed Bank of America's $10 billion Global Corporate Banking business and served as Head of Sales for JP Morgan's Treasury and Securities Services business. She has served on Amphenol Corporation's board since 2018.
