Scholastic adds two directors as board members step down early

Scholastic Corp. (NASDAQ: SCHL) appointed Milena Alberti and Anne Clarke Wolff to its board of directors as independent directors effective July 16, according to a company statement.



The appointments coincide with the early retirement of directors John L. Davies and David J. Young, who had planned to step down at the upcoming 2025 annual meeting of stockholders but will leave immediately to allow the new directors to begin participating in board deliberations.



Alix Guerrier, currently a representative of common stockholders appointed in 2024, has been reappointed to the board as a representative of the company's Class A stockholders. The board has added seven new independent directors over the past four years as part of its refreshment efforts.



Alberti brings over 30 years of finance and media experience, including roles as global and U.S. chief financial officer at Penguin Random House and chief financial officer positions at Getty Images Inc. and MediaMath. She currently chairs the board of Pitney-Bowes Inc. and serves as a director and audit committee chair of Allurion Technologies.



Wolff has 30 years of experience in financial services and founded Independence Point Advisors in 2021, where she serves as chief executive officer. Her previous roles include building Bank of America's $10 billion Global Corporate Banking business and serving as head of sales for JP Morgan's Treasury and Securities Services business. She has served on Amphenol Corporation's board since 2018.



Board Chair Iole Lucchese said the new directors would support the board's focus on business transformation, growth strategies and capital allocation initiatives.
