Ruth Kimmelshue resigns from H.B. Fuller board; R. Jeffrey Bailly elected

H.B. Fuller Company (NYSE: FUL) announced that Ruth S. Kimmelshue resigned from its Board of Directors on September 23, 2026, effective immediately. The company stated her departure was not the result of any disagreement over company operations, policies, or practices.

On the same date, the Board elected R. Jeffrey Bailly, age 64, as a Class I director, with an initial term expiring at the company's 2027 annual meeting of shareholders. Bailly was also appointed to serve on the Board's Audit Committee and Compensation Committee.

Bailly has served as Executive Chairman of UFP Technologies, Inc. since June 2026, a contract development and manufacturing organization specializing in single-use and single-patient medical devices. He previously served as Chief Executive Officer of UFP Technologies from 1995 to 2026 and as its Chairman of the Board since 2006. Before joining UFP Technologies in 1988, he worked at Coopers & Lybrand from 1984 to 1988 as a certified public accountant. He holds a BA from Johns Hopkins University and an MBA from New York University.

For his board service, Bailly will receive an annual cash retainer of $100,000 and an initial grant of 1,300 restricted stock units. He is also eligible for an annual discretionary grant of deferred phantom stock units valued at $165,000.
