Noah Holdings names new independent director, reshuffles board committees
Noah Holdings Limited (NYSE: NOAH, HKEX: 6686) has appointed Ms. Tianjing Zhang as an independent director, effective August 29, 2026, according to a press release from the company.
The appointment follows the retirement of Ms. Cynthia Jinhong Meng, whose independent director agreement expired August 28, 2026, after three years of service. The company stated her departure did not result from any disagreement with the company or the board.
Ms. Tianjing Zhang has nearly two decades of legal experience in cross-border disputes, regulatory investigations, and compliance. She has served as head of international business at HOZU Capital since May 2025. Prior to that, she was managing partner and chief representative of the Shanghai office of Kirkland & Ellis International LLP from January 2012 to April 2025. She also previously practiced at Holland & Knight LLP in San Francisco.
Separately, the board re-designated Mr. David Zhang, who has served as an independent director under U.S. regulations since June 2024, as an independent director under Hong Kong Listing Rules, effective August 29, 2026. The Corporate Governance and Nominating Committee assessed his independence under Rule 3.13 of the Hong Kong Listing Rules, noting that the two-year cooling-off period had expired and that more than two and a half years had passed since he retired from Kirkland & Ellis in January 2024.
Following these changes, the board restructured its committee composition. The Audit Committee will be chaired by Ms. Xiangrong Li, with Mr. David Zhang and Ms. Tianjing Zhang as members. The Compensation Committee will be chaired by Ms. May Yihong Wu, with Mr. Boquan He and Ms. Xiangrong Li as members. The Corporate Governance and Nominating Committee will be chaired by Ms. Jingbo Wang, with Ms. May Yihong Wu and Mr. David Zhang as members.
All changes took effect August 29, 2026.
