On January 21, 2025, Thomas J. Barrack, Jr. notified the Board of Directors (the “Board”) of Guess? (NYSE: GES) that he has decided to resign from the Board, effective immediately. Mr. Barrack’s resignation is not a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
