Getty Images adds two directors, one departs from board

Getty Images Holdings, Inc. (NYSE: GETY) appointed Elizabeth Abrams and Thomas Walper to its Board of Directors, effective July 20, 2026, following a recommendation from its Nominating and Corporate Governance Committee.
Abrams will serve as a Class III director and is set to be nominated for re-election at the company's 2028 Annual Meeting of Shareholders. Walper will serve as a Class I director and will be nominated for re-election at the company's next Annual Meeting of Shareholders. Walper will not initially serve on any board committees.
Abrams was also appointed to the Audit Committee, with the board determining she meets the independence requirements under Rule 10A-3 of the Securities Exchange Act of 1934 and New York Stock Exchange listing standards.
Under independent director agreements signed July 20, 2026, both Abrams and Walper will receive a monthly fee of $50,000, along with additional fees for days on which they devote more than four hours outside of committee or official board meetings. Abrams will receive an additional $10,000 monthly fee for her Audit Committee service.
Separately, Hilary Schneider resigned from the board, the Audit Committee, and the Compensation Committee, also effective July 20, 2026, citing other professional commitments. The company stated her resignation was not related to any disagreement with the company or its operations, policies, or practices.
