Fossil Group adds two directors, names new board chair

Fossil Group, Inc. (NASDAQ: FOSL) announced that Sebastian DiGrande and Chandhu Nair were elected to its Board of Directors at the company's Annual Meeting of Stockholders held on October 2, 2026.
DiGrande was appointed to the Compensation and Talent Management Committee, while Nair was appointed to the Audit Committee. With the additions, the board now consists of seven members, six of whom are independent directors.
Wendy Schoppert, who joined the board in May 2025, was elected Chair of the Board of Directors, also effective October 2, 2026.
DiGrande has more than 30 years of experience in technology, retail and environmental sectors. He currently serves as CEO of PCX Markets, a climate technology and plastic responsibility platform operating in 16 countries. Previously, he served as Executive Vice President of Strategy and Chief Customer Officer at Gap, Inc., and spent 21 years at The Boston Consulting Group. He also served on the board of Big Lots, Inc. from 2018 to 2025.
Nair has more than 20 years of experience in enterprise digital, data and artificial intelligence transformation. He currently serves as Senior Vice President and Chief AI Officer at Target Corporation. He previously held senior technology roles at Lowe's Companies, Inc., and co-founded Cognitive Retail Inc.
CEO Franco Fogliato said in a statement that the two directors' expertise "across global brands, technology and customer experience at scale will be instrumental" as the company advances its turnaround plan.
