December 2, 2025 7:38 AM EST

Evolent Health Inc. (NYSE: EVH) announced board changes effective this month, with Cheryl Scott retiring from the board of directors on December 1 and Jill Smith joining as a new director on December 2.

Scott's retirement was not related to any disagreement with the company regarding operations, policies or practices, according to the announcement. In connection with her departure, the board accelerated the vesting of 21,979 restricted stock units that were previously scheduled to vest by June 5, 2026, or at the company's 2026 annual meeting of stockholders.

Smith, 67, will serve a term expiring at the 2026 annual meeting. She brings over 25 years of business leadership experience, including 17 years as chief executive officer of private and public technology companies and more than a decade as an independent director.

Smith most recently served as president and chief executive officer of Allied Minds plc, a technology commercialization company, from March 2017 to June 2019. Prior to that role, she was chairman, chief executive officer and president of DigitalGlobe Inc., a satellite imagery provider.

Her career began at Bain & Company, where she advanced to partner. She subsequently held executive positions at Sara Lee as vice president, and served as president and chief executive officer of eDial and SRDS. She also worked as chief operating officer of Micron Electronics and co-founded consulting firm Treacy & Company.

Smith currently serves as a director of Securitas AB, Check Point Software Technologies Ltd., and MDA Space Ltd. Her previous board positions include healthcare companies R1 RCM Inc. and Endo International.
