Enphase Energy retains Kortlang on board after shareholder vote

Enphase Energy, Inc. (NASDAQ: ENPH) announced that its board of directors, excluding Benjamin Kortlang, unanimously voted to retain Mr. Kortlang as a board member following the company's 2026 annual meeting, where shareholders had cast votes against his re-election.
The decision followed a review by the Nominating and Corporate Governance Committee, which cited Mr. Kortlang's knowledge of the company's technology roadmap, experience in capital markets and clean energy investing, and perfect attendance at all board and committee meetings over the past five years.
"The Board approached this review with great care and took the stockholder vote seriously," said Steve Gomo, chair of Enphase Energy's board. "We concluded that Mr. Kortlang's experience, judgment, independence, and contributions remain valuable to the Board and the company."
Alongside the retention decision, the company announced several governance changes. Shanker Trivedi, appointed to the board in June 2026, brings experience in data centers, cloud infrastructure, and high-performance computing. Joseph Malchow will assume the role of chair of the Nominating and Corporate Governance Committee, effective immediately. Mr. Kortlang will continue to serve on the Audit Committee and Strategic Committee.
The company stated it will continue stockholder engagement and evaluate additional governance changes going forward.
