Eagle Pharmaceuticals Inc. (OTCMKTS: EGRX) announced it will appoint Abhinav Jain as an independent member of its board of directors, subject to customary onboarding procedures. The appointment follows a cooperation agreement with Nantahala Capital Management LLC, which holds approximately 38% of Eagle's outstanding shares.
Jain will serve as a Class III director with an initial term expiring at the company's 2026 annual meeting of stockholders. He will serve on the board's compensation committee and nominating and corporate governance committee.
Under the cooperation agreement, Eagle also committed to appoint a second new independent director to the board no later than May 15, 2026. The agreement includes standstill, voting and other related provisions.
Jain works as an analyst at Nantahala, focusing on investments in specialty and generic pharmaceuticals. Prior to joining Nantahala in 2019, he was an associate at Angelo, Gordon & Co. from 2015 to 2017, where he focused on private equity and structured credit investments. Jain graduated from Massachusetts Institute of Technology in 2012 with a degree in chemical-biological engineering and from The Wharton School of the University of Pennsylvania in 2019 with an MBA in finance and entrepreneurial management.
"We look forward to welcoming Abi to our Board and to benefitting from his perspectives and experiences," said Michael Graves, chief executive officer of Eagle and executive chairman of the board of directors.
Eagle is a pharmaceutical company with research and development, clinical, manufacturing and commercial operations. The company's commercialized products include PEMFEXY, RYANODEX, BENDEKA, BELRAPZO, TREAKISYM and BYFAVO and BARHEMSYS through its subsidiary Acacia Pharma Inc.
