Credo Technology Group Holding Ltd (NASDAQ: CRDO) announced board changes affecting its leadership structure. Lip-Bu Tan resigned from the board of directors effective October 23, 2025, according to a company statement.
The company said Tan's resignation was not due to any disagreement with the company regarding operations, policies, or practices.
Brian Kelleher was elected as a Class III director effective October 27, 2025, to fill the vacancy created by Tan's departure. Kelleher will serve until the expiration of the Class III directors' term at the company's 2027 annual stockholder meeting, or until a successor is elected and qualified, or until his earlier death, resignation, or removal.
The board determined that Kelleher qualifies as an independent director under Securities and Exchange Commission rules and regulations and applicable listing standards.
