September 2, 2026 4:12 PM EDT

Coinbase Global, Inc. (NASDAQ: COIN) has appointed Anthony Armstrong to its board of directors, effective September 1, 2026, according to a company statement.

The board expanded its size from nine to ten directors following a recommendation by its Nominating and Corporate Governance Committee. Armstrong will serve on the board's Audit and Compliance Committee.

Armstrong's term will run until the company's 2027 annual meeting of shareholders, or until his successor is elected and qualified, or until his earlier death, resignation, disqualification, or removal.

His compensation will follow Coinbase's non-employee director compensation program, as described in the company's proxy statement filed with the Securities and Exchange Commission (SEC) on April 24, 2026. The company has also entered into its standard indemnification agreement with Armstrong.

The company disclosed that Armstrong and his immediate family members hold accounts on Coinbase's platform and use its products and services, paying standard transaction and other fees, similar to other customers and certain executives and directors.

Coinbase stated there are no arrangements or understandings between Armstrong and any other persons related to his board selection, and no family relationships exist between Armstrong and any director or executive officer of the company.
