CalciMedica, Inc. (NASDAQ: CALC) expanded its board of directors from seven to eight members on July 2, 2026, appointing Evgeny Zaytsev, M.D., Ph.D., as a Class I director, effective immediately.
Zaytsev's term is set to expire at the company's 2027 annual meeting of stockholders. Under CalciMedica's compensation policy for non-employee directors, he will receive an annual cash retainer of $40,000, prorated based on days served, and was granted an option to purchase 20,000 shares of common stock. The option vests monthly over three years from July 2, 2026, subject to his continuous service.
On the same date, board member Fred Middleton informed the board of his intention to retire, effective at the company's 2026 annual meeting of stockholders. Upon his departure, the board size will return to seven directors. The company stated that Middleton's retirement is not the result of any disagreement regarding the company's operations, policies, or practices.
