Wilco 63 prices $200M IPO on Nasdaq as blank check company

Wilco 63 Corporation priced its initial public offering of 20,000,000 units at $10.00 per unit, raising $200,000,000, according to a press release statement. The units are expected to begin trading on the Nasdaq Global Stock Market on June 18, 2026, under the ticker symbol NASDAQ: WLCOU.



Each unit consists of one Class A ordinary share and one-half of one redeemable warrant. Each whole warrant entitles the holder to purchase one Class A ordinary share at $11.50 per share, subject to certain adjustments. No fractional warrants will be issued. Once the units separate, the Class A ordinary shares and warrants are expected to trade on Nasdaq under the symbols NASDAQ: WLCO and NASDAQ: WLCOW, respectively.



An amount equal to $10.00 per unit will be deposited into a trust account upon closing. The offering is expected to close on June 22, 2026, subject to customary closing conditions. The company has granted underwriters a 45-day option to purchase up to an additional 3,000,000 units at the IPO price to cover over-allotments.



Wilco 63 is a blank check company formed to pursue a merger, share exchange, asset acquisition, or similar business combination. The company states its primary focus will be on technology-enabled businesses in sectors undergoing structural transformation driven by artificial intelligence, automation, robotics, and related technologies.



Cantor Fitzgerald & Co. is acting as sole book-running manager for the offering. A registration statement became effective with the U.S. Securities and Exchange Commission on June 17, 2026.
