Westhaven shareholders approve $85 million Dundee earn-in deal
Westhaven Gold Corp. (TSX-V: WHN) (OTCQB: WTHVF) shareholders approved an $85 million earn-in transaction with Dundee Corporation (TSX: DC.A) at a special meeting held February 17, 2026, according to a company statement.
The ordinary resolution received approval from 99.69% of votes cast by shareholders present or represented by proxy. A total of 86,911,531 common shares were represented at the meeting, accounting for approximately 35% of the company's total issued and outstanding shares as of the record date.
The transaction remains subject to final approval from the TSX Venture Exchange. Additional details regarding the earn-in agreement terms are available in the company's management information circular dated January 9, 2026.
Westhaven operates as a gold and silver exploration and development company focused on the Spences Bridge Gold Belt in southern British Columbia. The company controls approximately 60,263 hectares across four gold properties in the region.
The company's Shovelnose Gold project represents its most advanced property. A 2025 Preliminary Economic Assessment projected the project as an 11-year underground mining operation with average annual production of 56,000 ounces of gold and 313,000 ounces of silver. The assessment calculated a after-tax net present value of CDN$454 million at a 6% discount rate and 43.2% internal rate of return, based on gold prices of US$2,400 per ounce and silver at US$28 per ounce.
