VitalHub names Allan Brett as chairman in board succession plan

VitalHub Corp. (TSX: VHI) (OTCQX: VHIBF) announced board changes ahead of its annual shareholder meeting scheduled for June 26, 2026. The company plans to nominate Allan Brett and Andrew Shen as new directors, with Brett intended to serve as chairman.

Brett and Shen will replace Francis Shen and Roger Dent, who will retire from the board at the meeting's conclusion. Francis Shen will continue in an advisory role with the company.

Brett served as chief financial officer of The Descartes Systems Group Inc. from 2014 to March 2026. Before that, he held the CFO position at Aastra Technologies Limited for 18 years until its sale in 2014. Descartes provides logistics and supply chain technology solutions globally.

Andrew Shen co-founded and serves as general partner of Shen Capital Partners Inc., a Toronto-based growth-equity investment firm. He currently chairs Flexion Mobile Plc and serves as a director of Sylogist, Ltd. Shen previously chaired MediaValet Inc. until its sale to a private equity group and holds a significant stake in VitalHub.

"Having helped support Descartes' growth into a global logistics and supply chain technology industry leader, I bring a deep appreciation for disciplined growth, capital allocation, and execution," Brett said in the announcement.

VitalHub CEO Dan Matlow said Brett's experience scaling Descartes into a global technology platform will benefit the company and board. He thanked outgoing directors Dent for governance and capital markets contributions and Francis Shen for his leadership as chairman.

The board transitions will take effect upon conclusion of the June 26 meeting, subject to shareholder election of the nominees. Additional information about the proposed directors will be included in the company's management information circular.

VitalHub provides software solutions for health and human services providers, serving over 1,300 clients across the UK, Canada, and other regions. The Toronto-based company employs more than 700 people globally.
