Transgene signs license agreement with NEC Bio to advance cancer vaccine
Transgene (Euronext: TNG) and NEC Bio B.V., a subsidiary of NEC Corporation (TSE: 6701), signed a license agreement for the continued development of TG4050, an individualized cancer vaccine for head and neck cancer treatment.
The agreement grants Transgene access to NEC's AI-based neoantigen prediction platform for developing TG4050 in the adjuvant treatment of resected HPV-negative head and neck cancer. NEC retains ownership of its AI platform while supporting Transgene's clinical activities.
Under the financial terms, NEC will receive €2.5 million in Transgene shares and an additional €2.5 million in cash payments through early 2028. NEC is also eligible for development milestone payments and a double-digit share of profits or licensing revenues.
TG4050 is an individualized immunotherapy that uses an MVA viral vector incorporating neoantigens selected through NEC's AI platform. The treatment aims to prevent cancer relapse and extend disease-free survival following surgery and adjuvant therapy in head and neck cancer patients.
Transgene will issue 3,345,824 new shares to NEC Bio at €0.7472 per share, representing 1.22% of Transgene's share capital post-issuance. The capital increase is expected to complete by the end of April 2026.
The vaccine is currently being evaluated in a Phase 2 trial. TG4050 is designed to stimulate immune responses against tumor-specific genetic mutations unique to each patient's cancer.
