Topgolf Callaway Brands changes name to Callaway Golf Company

Topgolf Callaway Brands Corp. (NYSE: MODG) changed its corporate name to Callaway Golf Company on January 15, 2026, according to a company statement.
The company filed a certificate of amendment to its third restated certificate of incorporation with the Delaware Secretary of State to effectuate the name change. The board of directors approved the change under Section 242 of Delaware's General Corporation Law without requiring a stockholder vote.
The name change does not affect stockholder rights, the company said. Following the amendment, the company filed a fourth restated certificate of incorporation that consolidated the prior documents with the name change amendment.
The company also amended and restated its bylaws on January 15, 2026, to reflect the new corporate name. The name change represents the only modification to both the restated charter and amended bylaws.
In connection with the corporate name change, the company announced its common stock will cease trading under the ticker symbol "MODG" and begin trading under the new symbol "CALY" on the New York Stock Exchange. The ticker change is expected to become effective on or about January 16, 2026.
