ThreeD Capital closes $696,000 private placement with insiders
ThreeD Capital Inc. (CSE: IDK / OTCQX: IDKFF) completed a private placement financing that raised $696,000 through the issuance of 11.6 million units at $0.06 per unit, according to a company statement.
Each unit consists of one common share and one warrant. The warrants allow holders to purchase additional common shares at $0.15 per share for 60 months. The company paid no commissions or finder's fees for the financing.
All securities from the private placement are subject to a hold period that expires December 2, 2025. Management and directors of the Toronto-based venture capital firm purchased all 11.6 million units offered in the financing.
The insider participation constitutes a related party transaction under Multilateral Instrument 61-101. ThreeD Capital relied on exemptions from valuation and minority shareholder approval requirements because the fair market value of insider participation did not exceed 25% of the company's market capitalization.
ThreeD Capital focuses on investments in junior resources and disruptive technology companies. The firm trades on the Canadian Securities Exchange and OTCQX markets.
