Thesis Gold secures C$44 million from AngloGold Ashanti, Centerra investments

Thesis Gold Inc. (TSXV: TAU) announced that AngloGold Ashanti Plc will acquire a 5% stake in the company through a private placement investment, according to a company statement.

Under the subscription agreement, AngloGold Ashanti will purchase 13,858,883 common shares at C$2.79 per share for gross proceeds of C$38,666,284. The price represents the volume weighted average price of Thesis Gold shares on the TSX Venture Exchange on February 18, 2026.

Centerra Gold Inc. will also participate in the financing, exercising its pro rata rights to maintain its ownership percentage. Centerra will acquire 2,059,730 shares at the same C$2.79 price for gross proceeds of C$5,746,647, maintaining a 9.9% ownership stake after closing.

The combined gross proceeds from both investments will total approximately C$44,412,931. The transactions are expected to close around February 26, 2026, subject to customary closing conditions including TSX Venture Exchange approval.

Proceeds will be used for working capital and general corporate purposes, including technical studies at the Lawyers-Ranch gold-silver project in British Columbia's Toodoggone Mining District.

As part of the investment, Thesis Gold and AngloGold Ashanti will enter into an investor rights agreement granting the mining company certain financing participation rights, technical committee appointment rights, and the ability to maintain its shareholding interest in future financings.

All shares issued will be subject to a four-month and one-day statutory hold period under Canadian securities legislation. No commissions or finder's fees will be paid in connection with either subscription.
