The Generation Essentials Group receives NYSE non-compliance notice

September 11, 2026 4:30 PM EDT

The Generation Essentials Group (NYSE: TGE) announced it received a notice from the New York Stock Exchange stating the company is below compliance standards due to the trading price of its Class A ordinary shares falling below $1.00 over a consecutive 30 trading-day period.

Under Section 802.01C of the NYSE's Listed Company Manual, the company has six months to regain compliance. To do so, TGE must achieve a closing share price of at least $1.00 per Class A ordinary share and a 30 trading-day average closing price of at least $1.00 on the last trading day of any calendar month within the cure period. Failure to meet these thresholds by the end of the six-month period would trigger NYSE suspension and delisting procedures.

The company said it intends to monitor market conditions and will consider various measures to address the non-compliance. As of Sept. 11, 2026, TGE has repurchased 284,538 Class A ordinary shares under existing repurchase programs.

TGE is headquartered in France and operates across media, entertainment, hospitality, and cultural affairs. The company was jointly established by AMTD Group, AMTD IDEA Group (NYSE: AMTD; SGX: HKB), and AMTD Digital Inc. (NYSE: HKD), and holds assets including L'Officiel and The Art Newspaper.
