Terra Innovatum names former Framatome CEO Williams as board chair

Terra Innovatum Srl, a micro-modular nuclear reactor developer, announced nominees for its board of directors following its proposed business combination with GSR III Acquisition Corp. (NASDAQ: GSRT).

Katherine Williams, former CEO of Framatome, will serve as independent chair of the nine-member board. The board will include five independent directors and four Terra Innovatum executives.

The independent directors are Williams; Rex Jackson, former CFO at ChargePoint Inc. (NYSE: CHPT); Dr. Martha Crawford, operating partner at Macquarie Group and former executive vice president at Areva; Dr. Michael Howard, chair of the World Energy Council and former CEO of Electric Power Research Institute; and Peter Hastings, former vice president at Kairos Power.

The company executives joining the board are CEO Alessandro Petruzzi, COO Cesare Frepoli, Chief Strategy Officer Massimo Morichi, and CFO Guillaume Moyen.

Williams brings over 40 years of nuclear energy leadership experience, including her tenure as president and CEO of Framatome. She currently serves as CFO of Solestiss LLC, a management consulting company in the energy sector.

Jackson served as CFO of ChargePoint Holdings and previously held financial leadership roles at multiple public companies, including Gigamon Inc. and Rocket Fuel Inc. He has been involved in two public offerings and over $2 billion in capital raising activities.

Terra Innovatum develops the SOLO micro-modular reactor technology, which the company states will be available globally within three years. The company filed an S-4 registration statement with the Securities and Exchange Commission on September 3, 2025, regarding the proposed business combination with GSRT.
