TORM raises share capital by 97,089 shares via RSU exercise

TORM plc (NASDAQ: TRMD, NASDAQ: TRMD A) has increased its share capital by 97,089 Class A shares, resulting in a nominal capital increase of $970.89, according to a company press release.

The shares were issued through the exercise of Restricted Share Units (RSUs) as part of the company's incentive program. Of the newly issued shares, 95,700 Class A shares were subscribed for in cash at DKK 179.80 per share, while the remaining 1,389 Class A shares were subscribed for at DKK 124.20 per share.

The capital increase was carried out without pre-emption rights for existing shareholders. The new shares carry no special rights, are negotiable instruments, and entitle holders to dividends and other shareholder rights from the date of issuance. The shares are expected to be admitted to trading and official listing on Nasdaq Copenhagen.

Following the transaction, TORM's total share capital stands at $1,026,507.77, divided into 102,650,777 Class A shares with a nominal value of $0.01 each. Each share carries one vote. Transfer restrictions may apply in certain jurisdictions, including under applicable U.S. securities laws.
