TERRA CLEAN ENERGY announces C$2.7 million private placement
Terra Clean Energy Corp. (CSE: TCEC, OTCQB: TCEFF, FSE: C9O0) announced a non-brokered private placement offering of up to 19,520,350 units at C$0.14 per unit, targeting maximum gross proceeds of C$2,732,849. The minimum offering consists of 10,000,000 units for C$1,400,000 in gross proceeds.
Each unit includes one common share and half of one warrant. The warrants allow holders to purchase common shares at C$0.17 each, exercisable from 60 days after closing until 36 months following completion.
The Vancouver-based uranium exploration company plans to use proceeds to fund a portion of Utah claims purchase price, future exploration and development costs, and general working capital. The offering is expected to close around November 4, 2025, subject to regulatory approvals including conditional approval from the Canadian Securities Exchange.
The units will be offered to purchasers in Canadian provinces and territories except Quebec, and other qualifying jurisdictions under the listed issuer financing exemption. Securities issued under this exemption will not be subject to a hold period under Canadian securities laws.
Terra Clean Energy may pay finder's fees up to 7% of aggregate proceeds in cash and issue non-transferable finder warrants equal to 7% of units issued, exercisable at C$0.14 per share for 36 months.
The company operates uranium exploration projects including South Falcon East in Saskatchewan's Athabasca Basin region, which contains a 6.96 million pound inferred uranium resource, and past-producing uranium mines in Utah.
The securities have not been registered under U.S. securities laws and may not be offered or sold in the United States without registration or an applicable exemption.
