Southwest Gas Holdings, Inc. (NYSE: SWX) announced it will sell 27,362,210 existing shares of Centuri Holdings, Inc. (NYSE: CTRI) common stock through a registered public offering. The transaction will eliminate Southwest Gas Holdings' remaining ownership in Centuri.
The shares are being offered under an effective shelf registration statement filed by Centuri with the U.S. Securities and Exchange Commission. A preliminary prospectus supplement describing the offering terms will be filed with the SEC and made available on the agency's website.
Southwest Gas Holdings operates as a natural gas utility company serving over 2 million customers across Arizona, Nevada, and California through its primary subsidiary Southwest Gas Corporation. The company has maintained a minority ownership position in Centuri.
Centuri Holdings provides utility infrastructure services to regulated utilities across the United States and Canada, focusing on building and maintaining energy network infrastructure.
The offering will be conducted only through a prospectus supplement and accompanying prospectus that forms part of the registration statement. The company noted that the press release does not constitute an offer to sell securities and that any sales will comply with Securities Act of 1933 registration requirements.
