SEGG Media receives partial Nasdaq compliance after 10-K filing

Sports Entertainment Gaming Global Corporation (NASDAQ: SEGG, LTRYW), known as SEGG Media, said it received a partial compliance letter from Nasdaq after filing its Annual Report on Form 10-K, leaving one outstanding financial report needed to regain full compliance.

The company said the remaining filing is its Quarterly Report on Form 10-Q for the quarter ended March 31, 2026, and it intends to complete that report "in short order."

The Fort Worth, Texas-based company also outlined operational changes since the start of 2026, primarily centered on its acquisition of Veloce Media Group. According to a press release, the acquisition expanded the company's presence in motorsport, esports, gaming, and creator-led media. The company claims its owned media ecosystem now generates more than 500 million monthly digital views.

SEGG Media reported approximately $131.5 million in pro forma assets following the Veloce acquisition. The company said commercial relationships added through Veloce include Microsoft, Visa, Hilton, Lego, McLaren, and Revolut.

The pending 10-Q filing for the March 31, 2026 quarter will be the first SEC report to include results following the Veloce acquisition, though the company noted it will reflect only a partial period for Veloce since the acquisition closed during that quarter.

Robert Stubblefield, Chief Financial Officer and Interim Chief Executive Officer, said in a statement: "Our objective is straightforward: continue executing our commercial strategy, complete the remaining reporting process, and provide investors with financial reporting that increasingly reflects the company we have built."

SEGG Media operates a portfolio that includes Sports.com, Concerts.com, TicketStub.com, Lottery.com, and Veloce Media Group. The company previously focused primarily on lottery operations.
