Real Messenger prices $4 million public offering at $0.70 per unit
Real Messenger Corporation (NASDAQ: RMSG) announced the pricing of its public offering of 5,714,284 units at $0.70 per unit, according to a company statement. The real estate technology platform expects to raise approximately $4 million in gross proceeds before deducting placement agent fees and other expenses.
Each unit consists of one Class A ordinary share and one common warrant to purchase an additional Class A ordinary share. The warrants are immediately exercisable at an exercise price of $0.70 and will expire five years from the issuance date. Some units may include pre-funded warrants priced at $0.6999 instead of shares.
The offering is conducted on a best-efforts basis with Maxim Group LLC serving as the sole placement agent. The closing is expected to occur on or around June 9, 2026, subject to customary closing conditions outlined in the securities purchase agreement dated June 8, 2026.
The Securities and Exchange Commission declared the company's Form F-1 registration statement effective on June 8, 2026, after it was initially filed on May 26, 2026.
Real Messenger operates a chat-based platform for real estate connections and is headquartered in Costa Mesa, California. The company was founded in 2022 and reports having users across 35 countries, with primary operations in the United States and growth in the United Kingdom and Australia markets.
