RE/MAX and Real Brokerage set August 18 merger election deadline

RE/MAX Holdings, Inc. (NYSE: RMAX) and The Real Brokerage Inc. (NASDAQ: REAX) have reminded stockholders of the upcoming deadline to elect the form of consideration they wish to receive in the pending acquisition of RE/MAX by Real.

According to a joint statement, holders of RE/MAX Class A Common Stock who are stockholders of record must submit a completed election form to exchange agent Computershare Trust Company, N.A. by 5:00 p.m. New York City time on August 18, 2026. The deadline may be extended, in which case the companies have said they will issue a press release announcing the new date.

Stockholders who hold shares through a bank, broker, or other nominee may be subject to an earlier deadline set by that intermediary and should contact their bank, broker, or nominee directly for instructions.

Stockholders who do not submit a valid election form by the deadline will be deemed to have elected to receive 5.15 shares of the combined company, Real REMAX Group Inc., for each share of RE/MAX Class A Common Stock held. That ratio is to be adjusted to 0.515 prior to closing to reflect a planned stock consolidation by Real, as outlined in the merger agreement.

The aggregate merger consideration is subject to proration, as described in the proxy statement/prospectus included in the registration statement filed with the Securities and Exchange Commission. The transaction remains subject to customary closing conditions, including approval by shareholders of both companies.

The election deadline is separate from the deadline for RE/MAX stockholders to vote on proposals at RE/MAX's upcoming special meeting of stockholders.
