Paramount Skydance extends debt offer deadlines to October 2

September 21, 2026 5:25 PM EDT

Paramount Skydance Corporation (NASDAQ: PSKY) has extended the expiration dates for its previously announced tender offers and exchange offers to 5:00 p.m. New York City time on October 2, 2026, unless further extended.

The offers involve notes issued by Discovery Global Holdings, Inc. and Discovery Communications, LLC in connection with Paramount's proposed acquisition of Warner Bros. Discovery, Inc. The settlement dates are anticipated to occur promptly after the expiration date, currently expected in the third quarter of 2026. Paramount said it anticipates continuing to extend the expiration date until settlement can occur on or around the closing date of the acquisition.

As of 5:00 p.m. on September 18, 2026, approximately 66.87% of the aggregate principal amount of the existing tender offer notes and 75.12% of the existing exchange offer notes had been validly tendered. Paramount said it does not consider these figures representative of final results, given anticipated further extensions.

The current extension follows a series of prior extensions dating back to June 12, 2026. Holders may withdraw tendered notes at any time prior to the expiration date.

The offers cover 16 series of notes with maturities ranging from 2027 to 2052, denominated in both U.S. dollars and euros. BofA Securities and Citigroup are serving as dealer managers for the offers. Global Bondholder Services Corporation is acting as exchange agent and information agent.

The exchange offers are being made only to qualified institutional buyers and non-U.S. persons under exemptions from Securities Act registration requirements.
