Paramount Skydance extends bond offer deadlines to August 7

Paramount Skydance Corporation (NASDAQ: PSKY) has extended the expiration dates for its previously announced tender offers and exchange offers related to notes issued by Warner Bros. Discovery subsidiaries, now set to expire at 5:00 p.m. New York City time on August 7, 2026, unless further extended.

The offers target notes issued by Discovery Global Holdings, Inc. (formerly WarnerMedia Holdings, Inc.) and Discovery Communications, LLC. The tender offers seek to purchase the notes for cash, while the exchange offers would swap existing notes for newly issued Paramount Skydance securities.

As of July 23, 2026, approximately 66.17% of the aggregate principal amount of existing tender offer notes and 76.38% of existing exchange offer notes had been validly tendered. Paramount stated it does not view these figures as representative of final results, as it anticipates continuing to extend the deadlines to align with the closing of its proposed acquisition of Warner Bros. Discovery, Inc.

Settlement dates are currently expected to occur in the third quarter of 2026, promptly after the final expiration date. This marks the fifth extension of the offers, following prior extensions on June 12, June 26, July 13, and July 17, 2026.

Holders may withdraw tendered notes at any time prior to the applicable expiration date. BofA Securities and Citigroup are serving as dealer managers for the offers, according to a company statement.
