Paramount Skydance extends bond offer deadlines to August 14

Paramount Skydance Corporation (NASDAQ: PSKY) has extended the expiration dates for its previously announced tender offers and exchange offers related to its proposed acquisition of Warner Bros. Discovery, Inc., according to a company statement.

The new expiration deadline is 5:00 p.m. New York City time on August 14, 2026, unless further extended. Settlement dates are anticipated to occur in the third quarter of 2026, promptly after the expiration date. The company said it expects to continue extending the deadline to align with the closing date of the Warner Bros. Discovery acquisition.

The offers cover multiple series of notes issued by Discovery Global Holdings, Inc. (formerly WarnerMedia Holdings, Inc.) and Discovery Communications, LLC. As of 5:00 p.m. on July 30, 2026, approximately 66.05% of the aggregate principal amount of existing tender offer notes and 76.26% of existing exchange offer notes had been validly tendered. Paramount said it does not view these figures as representative of final results, given the anticipated further extensions.

This marks the sixth extension of the expiration dates, following previous extensions on June 12, June 26, July 13, July 17, and July 24, 2026. Holders may withdraw tendered notes at any time prior to the expiration date.

BofA Securities and Citigroup are serving as dealer managers for the offers. Global Bondholder Services Corporation is acting as exchange agent and information agent. Latham & Watkins LLP is serving as legal counsel to Paramount, and Cahill Gordon & Reindel LLP is serving as legal counsel to the dealer managers.
