Paradium.AI and Roundtable sign 10-year platform deal, pending close
Paradium.AI, Inc. (NYSE American: PAAI) has signed a 10-year strategic platform agreement with RTB Digital, Inc. (Nasdaq: RTB), which operates as Roundtable, according to a press release from Paradium.AI. The transactions remain subject to conditions precedent, including funding requirements to be satisfied by Roundtable, and are scheduled to close before the end of Q4 2026.
Under the platform agreement, Roundtable would provide technology, monetization, and operating services supporting Paradium.AI's portfolio of media brands. Paradium.AI would retain ownership of its brands, domains, intellectual property, and audiences.
Roundtable would assume responsibility for a portion of Paradium.AI's annual operating functions and costs, including product, engineering, and monetization functions, and would receive a percentage of revenue related to Paradium.AI's media brands hosted on Roundtable's platform.
Roundtable would also receive a worldwide, perpetual license to certain Paradium.AI technology assets, while Paradium.AI retains ownership of the underlying intellectual property. In exchange, Paradium.AI would receive shares of Roundtable common stock, subject to Nasdaq minimum pricing requirements and other closing price conditions.
In a separate private transaction, Roundtable has agreed to acquire Paradium.AI common stock from Simplify Inventions, LLC, Paradium.AI's largest shareholder, at $3.80 per share. Following the transaction, Roundtable would own approximately 49.5% of Paradium.AI's outstanding common stock, while Simplify would retain approximately 23.1%. The equity transaction does not involve the issuance of new Paradium.AI shares and will not generate proceeds for Paradium.AI.
No assurance has been given as to when closing conditions will be satisfied or whether the transactions will be completed.
