NusaTrip receives underwriter consent for Society Pass lock-up waiver

NusaTrip Incorporated (NASDAQ: NUTR) announced that underwriter Cathay Securities, Inc. has consented to grant Society Pass Incorporated (NASDAQ: SOPA) an early release from its securities lock-up agreement.
The waiver became effective January 15, 2026, releasing Society Pass from restrictions that prevented it from selling, transferring, or disposing of NusaTrip securities. The original lock-up period was set for six months following NusaTrip's initial public offering, which closed in August 2025.
Under the underwriting agreement between NusaTrip and Cathay Securities, Society Pass had agreed not to offer, pledge, sell, contract to sell, grant, lend or otherwise transfer NusaTrip securities, subject to certain exceptions, for the six-month period.
NusaTrip operates as a travel ecosystem specializing in Southeast Asia and Asia-Pacific markets. The Jakarta-based company, established in 2015, focuses on acquisitions of offline travel agencies as part of its growth strategy. The company has completed acquisitions of VLeisure and VIT, both Vietnam-based travel companies.
The company states it is the first Indonesian-based online travel agent to receive International Air Transport Association accreditation, which provides access to airline fares and inventories from both full-service and low-cost carriers.
