Netcapital plans shift to AI-powered capital markets platform

Netcapital Inc. (NASDAQ: NCPL) announced plans to transform from a transaction-based capital formation marketplace into a data-driven capital markets infrastructure platform. The fintech company said it will leverage proprietary data from private capital campaigns representing millions of dollars in fundraising activity.
Under CEO Todd Violette, the company plans to develop or acquire AI-powered tools that would help client companies raising capital by using insights from successful historical campaigns. The tools would analyze conversion metrics, investor behavior patterns, messaging frameworks, pricing strategies, and post-funding growth trajectories from the company's platform activity.
"We are fundamentally changing how Netcapital creates value," Violette said. "For years, we facilitated individual client company capital raises. Now, we're building infrastructure based on those raises to further leverage that knowledge into scalable, recurring revenue."
The company's board approved plans to develop AI components that identify success patterns across historical campaign data. Netcapital also plans to restructure operational infrastructure to support data-centric product development and explore strategic acquisitions aligned with its data-infrastructure vision.
The Boston-based company expects to secure and integrate system components during the second half of 2026. Violette said the transformation will take time and the company is being deliberate in its approach. The company plans to keep shareholders updated on progress as it builds what it describes as the foundation for sustainable, scalable growth.
Netcapital operates funding portals and subsidiaries that facilitate private capital campaigns. The company said its proprietary data provides insights that cannot be obtained from internet sources, as the information comes from direct platform activity and real outcomes in private capital formation.
