Investing.com -- Microsoft (NASDAQ: MSFT) shares declined 2% Monday, while Amazon (NASDAQ: AMZN) rose 1%, following an announcement that OpenAI’s licensing agreement with Microsoft will become non-exclusive.
The companies disclosed an amended partnership agreement that removes Microsoft’s exclusive rights to OpenAI’s intellectual property. Under the new terms, Microsoft will maintain a license to OpenAI models and products through 2032, but the license will now be non-exclusive, allowing OpenAI to license its technology to other partners.
The revised agreement also eliminates Microsoft’s revenue share payments to OpenAI, though OpenAI will continue making revenue share payments to Microsoft through 2030 at the same percentage but subject to a total cap. These payments will continue independent of OpenAI’s technology progress.
Microsoft will remain OpenAI’s primary cloud partner, with OpenAI products shipping first on Azure unless Microsoft cannot or chooses not to support the necessary capabilities. However, OpenAI can now serve all its products to customers across any cloud provider, marking a significant shift from the previous exclusive arrangement.
The companies stated the amended agreement provides long-term clarity and flexibility for both parties to pursue new opportunities while maintaining their collaboration on datacenter capacity, next-generation silicon, and AI applications for cybersecurity.
Microsoft continues to participate in OpenAI’s growth as a major shareholder under the new terms.
