LivePerson extends special meeting deadline for SoundHound AI merger vote

LivePerson (NASDAQ: LPSN) has adjourned its Special Meeting of Stockholders to September 2, 2026, extending the deadline for shareholders to vote on the company's proposed merger with SoundHound AI (NASDAQ: SOUN).

The new deadline to submit votes online or by telephone is September 1, 2026, at 11:59 p.m. ET. The board issued a letter to stockholders urging participation, which has been filed with the U.S. Securities and Exchange Commission.

According to preliminary results cited in the letter, over 97% of votes cast to date have been in favor of the transaction. The board noted that the merger requires approval from a majority of all outstanding shares, a threshold it said is only a few percentage points away from being reached.

Under the terms of the proposed transaction, announced April 21, 2026, LivePerson stockholders would receive SoundHound AI shares valued at approximately $3.33 per share of LivePerson common stock, representing an approximately 22% premium over the 30-day volume-weighted average price prior to the announcement.

The board cautioned that if stockholders fail to approve the transaction, LivePerson would continue operating as a standalone company and could face reorganization or restructuring scenarios in which stockholders might receive no value for their shares.

Stockholders of record as of July 6, 2026, are eligible to vote. LivePerson's proxy solicitor is MacKenzie Partners, Inc.
