LightPath Technologies Inc. (NASDAQ: LPTH) announced it has entered into a definitive agreement for an $8 million private placement with Ondas Holdings Inc. (NASDAQ: ONDS) and Unusual Machines Inc. (NYSE American: UMAC).

The private placement consists of 1.6 million shares of common stock priced at $5.00 per share. Each investing company will purchase $4 million worth of shares. LightPath plans to use the proceeds for working capital to advance commercialization initiatives and general corporate purposes.

The offering is expected to close on or about September 17, 2025, subject to customary closing conditions.

Eric Brock, Chairman and CEO of Ondas Holdings, stated the investment reflects the company's belief that LightPath will be a provider of optics and imaging systems for the drone industry. Ondas provides mission-critical networks, autonomous drones, counter-drone solutions, and artificial intelligence capabilities to customers in rail, energy, public safety, critical infrastructure, and government markets.

Allan Evans, CEO of Unusual Machines, noted that export restrictions on Germanium imposed by China are driving a shift toward American manufacturing. He said the company's focus on U.S. drone manufacturing complements LightPath's BlackDiamond Glass technology, which serves as an alternative to Germanium.

LightPath CEO Sam Rubin described the partnerships as a strategic milestone to advance the use of the company's uncooled camera technology in drones. The Orlando, Florida-based company develops optics and imaging systems for defense and commercial applications.

LightPath will host its fourth quarter fiscal 2025 earnings conference call on September 25, 2025, at 5:00 p.m. Eastern time.
