Liberty Defense files for U.S. IPO with confidential SEC submission
Liberty Defense Holdings Ltd. (TSXV: SCAN, OTCQB: LDDFF, FSE: E30) submitted a draft registration statement on Form F-1 with the U.S. Securities and Exchange Commission for a proposed initial public offering of common shares in the United States, the company announced January 20.
The security technology company stated the offering aims to capitalize on commercial momentum and increase visibility through a U.S. stock exchange listing. The number of shares and price range for the proposed offering remain undetermined.
The offering remains subject to market conditions and completion of the SEC's review process. Liberty Defense noted the submission was made confidentially under applicable securities regulations.
Liberty Defense develops security solutions for concealed weapons detection in high-traffic areas including airports, stadiums and schools. The company holds an exclusive license from Massachusetts Institute of Technology for its HEXWAVE product, which uses active 3D radar imaging technology to detect metallic and non-metallic weapons.
The company has also licensed millimeter wave-based High-Definition Advanced Imaging Technology body scanner and shoe scanner technologies as part of its security detection portfolio.
Liberty Defense currently trades on the TSX Venture Exchange, OTCQB market, and Frankfurt Stock Exchange. The announcement was made pursuant to Rule 135 under the Securities Act of 1933.
