Leviathan Gold announces $3.5 million financing completion by Cura
Leviathan Gold Ltd. (TSXV: LVX) announced that Cura Exploration Botswana Corp. completed a private placement financing for $3.5 million in gross proceeds. The financing satisfies a condition precedent for Leviathan's proposed acquisition of all outstanding securities of Cura, according to a company statement.
The companies entered into an extension agreement that extends the deadline to enter into a definitive agreement for the proposed transaction until September 30, 2025. The original letter of intent was dated June 13, 2025.
Trading of Leviathan's common shares on the TSX Venture Exchange has been halted since June 16, 2025, pending exchange review. The halt occurred because the proposed transaction qualifies as a "Fundamental Acquisition" under TSXV Policy 5.3.
The trading halt will be lifted once certain conditions are met under Section 5.6 of Policy 5.3, including TSXV review of technical reports prepared in compliance with National Instrument 43-101 standards for mineral disclosure regarding the properties. Leviathan and Cura are preparing the required documentation, including technical reports and financial statements.
Leviathan Gold is a Canadian-based mineral exploration company also listed on the Frankfurt Stock Exchange under the symbol 0GP.
