Jet.AI receives SEC approval for flyExclusive merger registration

Jet.AI Inc. (NASDAQ: JTAI) announced that the Securities and Exchange Commission declared effective the registration statement filed by flyExclusive Inc. (NYSE American: FLYX) for their proposed merger transaction on April 30, 2026.
The company scheduled a special stockholder meeting for June 11, 2026, to vote on the proposed transaction. Stockholders of record as of May 8, 2026, will be eligible to vote at the meeting.
Jet.AI plans to file its definitive proxy statement with the SEC on May 4, 2026, and expects to begin mailing proxy materials around May 11, 2026. The materials will include voting procedures and risk factors related to the proposed transaction.
The merger involves an amended agreement dated May 6, 2025, between Jet.AI, flyExclusive, FlyX Merger Sub Inc., and Jet.AI SpinCo Inc. FlyExclusive filed Registration Statement Form S-4 to register shares of common stock to be issued in connection with the transaction.
Jet.AI describes itself as a provider of GPU infrastructure and AI cloud services. The company trades on the NASDAQ Capital Market under the ticker symbol JTAI.
