Jet.AI gains $20 million in book equity from SPAC investment stake

Jet.AI Inc. (NASDAQ: JTAI) reported that AI Infrastructure Acquisition Corp. (NYSE: AIIAU) completed its initial public offering on October 3, 2025, raising $120 million through the sale of 12 million units at $10 each. The offering was increased from an initially planned 10 million units due to investor demand.
Jet.AI holds a 49.5% ownership interest in AIIA Sponsor Ltd., the sponsor entity of the special purpose acquisition company. Based on the IPO pricing, this stake provides Jet.AI with approximately $20 million in initial book equity value.
The Las Vegas-based company operates in software and aviation segments while transitioning toward AI data center operations. Jet.AI made a capital contribution to the SPAC sponsor as part of its strategic shift toward the data center and digital infrastructure sector.
AI Infrastructure Acquisition Corp. plans to pursue business combinations with technology companies focused on artificial intelligence, machine learning, and data center infrastructure development. The blank check company is led by CEO Michael Winston and CFO George Murnane.
Maxim Group LLC served as the sole book-running manager for the offering. The Securities and Exchange Commission declared the registration statement effective on September 30, 2025.
Founded in 2018, Jet.AI currently provides GPU infrastructure and AI cloud services alongside its aviation business operations. The company's management team has experience in data center development and AI technologies.
