Jet.AI and flyExclusive extend merger deadline to June 30, 2026

Jet.AI Inc. (NASDAQ: JTAI) and flyExclusive Inc. (NYSE American: FLYX) have agreed to extend the outside date of their merger agreement to June 30, 2026, with closing expected in the second quarter of 2026, according to a company statement.

The extension follows the completion of the SEC review process, which included comments related to flyExclusive's disclosures for the 2023 period. Jet.AI Founder and Executive Chairman Mike Winston stated that "the comments were addressed and fully resolved."

flyExclusive refiled its Form S-4 registration statement related to the transaction on April 14, 2026. Once the SEC declares the Form S-4 registration statement effective, the definitive proxy statement is expected to be mailed to shareholders promptly thereafter.

The companies expect a shareholder solicitation period of approximately thirty days following the mailing of the definitive proxy statement, reflecting standard timing for broker distribution, shareholder review, and vote tabulation before the special meeting. The parties expect to proceed to closing after this period, subject to satisfaction of customary closing conditions.

flyExclusive CEO Jim Segrave said both teams "have continued to work expeditiously toward closing" and expressed commitment to completing the combination in the second quarter.

Jet.AI describes itself as a provider of GPU infrastructure and AI cloud services, while flyExclusive operates as a private aviation company. The merger agreement was originally dated May 6, 2025, between Jet.AI, flyExclusive, FlyX Merger Sub Inc., and Jet.AI SpinCo Inc.
