Irish court approves XOMA Royalty's acquisition of Mural Oncology

The High Court of Ireland sanctioned the scheme of arrangement for XOMA Royalty Corporation's (NASDAQ: XOMA) acquisition of Mural Oncology plc (NASDAQ: MURA). XRA 5 Corp., a wholly-owned subsidiary of XOMA Royalty, will acquire all issued and outstanding shares of Mural through the court-approved scheme.
The acquisition will become effective on December 5, 2025, when the court order is delivered to the Irish Registrar of Companies. Mural shares will cease trading on the Nasdaq Global Market at 8:00 p.m. Eastern Time on December 4, 2025, with that date expected to be the final trading day.
Cash consideration payments to Mural shareholders are expected to begin following the December 5 effective date. DTC participant accounts will be credited and check distributions completed as soon as practicable. Under Irish Takeover Rules requirements, all consideration payments must be distributed by December 19, 2025.
The scheme follows Mural's definitive proxy statement dated September 23, 2025, which also served as a scheme circular under Irish law. The transaction structure involves a scheme of arrangement under Chapter 1 of Part 9 of Ireland's Companies Act 2014.
