IperionX plans Texas redomiciliation and adds board member

IperionX Limited (Nasdaq: IPX, ASX: IPX), a titanium metal and critical materials company, announced plans to redomicile its ultimate parent company to Texas and appointed a new independent non-executive director.



The proposed redomiciliation would establish a newly incorporated Texas corporation as the ultimate parent of the IperionX group. The move remains subject to shareholder, court, regulatory, and exchange approvals. Subject to final structuring and exchange approvals, the company expects common stock in the new U.S. parent to be listed directly on Nasdaq, replacing its existing American Depositary Share structure.



IperionX said the proposed redomiciliation is not expected to change its underlying assets, operations, or strategic priorities. The company operates a critical minerals platform in Tennessee, titanium metal production and advanced manufacturing in Virginia, and technology research and development in Utah.



CEO Taso Arima said in a statement: "The proposed redomiciliation would complete that alignment at the corporate level. It would create a simpler investment structure for U.S. investors and better position IperionX to access the capital, market visibility and strategic relationships required to scale a fully American titanium supply chain."



Separately, IperionX appointed Michael J. Loparco as an independent non-executive director, effective August 3, 2026. Loparco currently serves as CEO and co-founder of OrcaWorcs.ai and previously served as CEO of Symbotic Inc. (Nasdaq: SYM), where he led the company through its 2022 public listing. He also spent more than two decades at Jabil Inc., holding roles including CEO of Jabil Electronics Manufacturing Services and Executive Vice President. Loparco currently serves on the board of Sanmina Corporation (Nasdaq: SANM).



Executive Chairman Todd Hannigan said Loparco's experience in manufacturing, technology, supply chains, and public-company governance is "directly relevant to IperionX's next phase" as the company scales its U.S. manufacturing operations.



IperionX said its customers, strategic relationships, and government-supported programs are primarily based in the United States, which the company cited as a factor behind the proposed corporate restructuring.
